ABOUT THIS PROGRAMME
This path covers the entire syllabus of corporate law as taught in law schools. The 5 modules of the path are as follows:
Module 1: Deals with the origin and growth of the company structure, its essential features, key distinctions compared to other forms of businesses, types of companies, fundamental documentation, promotion, incorporation and relevant key legal authorities.
Module 2: Deals with types of shares, debentures, issuing securities, and the prospectus.
Module 3: Is divided into two parts – Part 1 – Board of Directors, and Part 2 – Key Managerial Personnel. In Part 1, you will learn the composition of the board of directors, kinds of directors, their appointment, disqualification, powers, duties and liabilities and about the various board committees. Part 2 covers key managerial personnel, their appointment, remuneration, roles and responsibilities, removal of key managerial personnel and secretarial audit.
Module 4: Deals with corporate meetings. Strategic planning, policy decisions, evaluation of stakeholders’ interests are some of the key issues that are taken up during these meetings. This course discusses the meaning, definition and classification of ‘meetings’ under the Companies Act.
Module 5: The course covers the winding-up process for a company. In particular, the reasons for winding up, petitioners for winding up, summary procedure, liquidator, and dissolution.

Dr Charu Mathur
Instructor, EBC Learning & AOR, Supreme Court
Dr Charu Mathur has rich and diverse expertise in corporate, commercial, civil, criminal and constitutional law matters. She is an Advocate on Record with the Supreme Court of India. She has represented parties which include cricketing bodies and educational institutions like IIT Jodhpur, NLU Jodhpur, BPUT Orissa, MPUAT Rajasthan, and private engineering and medicine colleges of Gujarat and Orissa.

Dr Pratima Narayan
Instructor, EBC Learning, Advocate, Mediator & Co-founder, Techlawlogi Consulting LLP
Dr Pratima Narayan is an Advocate, Mediator and Co-founder of Techlawlogi Consulting LLP. She is an Editor and Consultant at EBC Learning. She has offered courses on consumer law, arbitration, e-commerce, contract law and corporate law on the platform. She has authored a book on ‘Electronic Commerce: Legal Compliance’, published by Eastern Book Company. The book comprehensively outlines the various legal and regulatory frameworks and compliance for e-commerce players. Dr Pratima has served the legal academia for over two decades as a visiting faculty at various reputed law schools and business schools. Dr Pratima holds a Doctorate in Law from the National Law School of India University, Bengaluru.

Bijetri Roy
Managing Director, Ins-PIRE
Bijetri Roy is an Instructional Designer at EBC Learning. She holds a master's degree in Public International Law from the Queen Mary University of London and is pursuing her PhD in Food Security and WTO from UPES, Dehradun. She has previously worked as a law lecturer at a law school in Delhi NCR. Prior to entering the field of teaching and research, she worked as a Legal and Marketing officer in the banking sector, before which she worked as a banking and finance lawyer at a boutique law firm, Orbit Law Services, Mumbai. Apart from her regular jobs, she has been actively involved in social service and was a pro-bono researcher in the areas of domestic violence and rape with Majlis Legal Centre under India’s renowned feminist advocate, Flavia Agnes. Bijetri has also trained law students at a well known private law school in Mumbai for moot courts, public speaking and legal research methodology.
