About Course
The corporate form and other forms of business organisation bring with them their own issues and complexities related to balancing power and conflicting interests. In this course we shall identify and address agency problems in business entities. This will include the following:
- Agency relationships and conflict in unincorporated business organisations
- Shareholder–management relationship
- Majority–minority-shareholder relationship
- Company–third-party relationship
- Agency controls (regulatory and governance strategies)
- Agency costs (enforcement strategies)
The course will include insights from major common law jurisdictions and comparative approaches to address the agency problem.
