<h2>Slump Sale vs. Share Purchase Transactions: Understanding the Difference</h2>

<p>Apple Inc Private Limited sold its entire shareholding, i.e., 100%, in its subsidiary Orange Printer Private Limited to a third party. </p>
<p>According to you, will this sale of 100% shares of Orange Printer Private Limited to a third party be considered a slump sale of an undertaking or simply a purchase of shares in a company? Please write your answers in the discussion box. </p>
<p>As for the sale of 100% shares of a company, it does not qualify as a slump sale transaction. To understand why the sale of shares does not amount to a slump sale, let’s revisit the basics.</p>
<p>Remember that selling shares only transfers ownership rights within the company. While you gain influence and potentially profits, the actual assets or operations (the undertaking) of the company remain unchanged. A slump sale, on the other hand, involves transferring the entire business, including assets, liabilities, employees, and ongoing operations. </p>
<p>The law recognises a company as a distinct legal entity from its shareholders. A logical extension of this statement means the company owns its assets, not the shareholders. In case of selling of shares, what is being transferred are the shares owned by the shareholders, and not the assets owned by the company. This principle was established in cases such as Bacha F. Guzdar and Vodafone International Holdings. Thus, the key distinction in these two transactions lies in what is being transferred. </p>
<p>When selling shares, only the shares and the associated ownership rights within the company are transferred. On the transfer of the shares, you will also get the rights attached with the shares, like the right to appoint directors, participate in the meetings, but not the actual assets or operations of the company. Conversely, a slump sale involves the transfer of the entire business entity, including assets, liabilities, employees, and ongoing operations. The facts and the principle are based on the case of Principal CIT v. UTV Software Communication Ltd. </p>
